Terms of Service

The short version: use gaze lawfully and respect others' rights; paid subscriptions renew until you cancel through your app store; gaze's AI answers are for learning and may not be perfect; and, to the extent the law allows, the Service is provided "as is" with limited liability. This summary is for convenience only. The full Terms below govern.

These Terms of Service ("Terms") are a binding agreement between you and Metasequoia Ventures ("gaze", "we", "us", or "our") governing your use of the gaze mobile application, websites, and related services (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least the age of majority in your jurisdiction (or have your parent or legal guardian's consent) and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. The Service

gaze helps you identify and learn about art through photos, audio, and AI-assisted chat. We may add, change, suspend, or discontinue features at any time. We may also set limits on use or restrict access to parts of the Service without notice or liability.

3. Your account

You are responsible for the information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk to the Service or others.

4. License to use gaze

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the Service for your own personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service except as expressly permitted by these Terms or applicable law.

5. Your content and the license you grant us

You retain ownership of the photos, questions, and other content you submit ("User Content"). You grant gaze a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, adapt, and use your User Content to operate, provide, secure, and improve the Service, and to create de-identified and aggregated data. You represent that you have the necessary rights to your User Content and that it does not infringe the rights of others or violate any law.

6. Acceptable use

You agree not to:

use the Service unlawfully or for any harmful, fraudulent, or infringing purpose;
upload content you do not have the right to share, or that is illegal, abusive, or violates others' privacy or intellectual-property rights;
interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its systems;
scrape, data-mine, or use bots or other automated means to access the Service except as expressly permitted;
reverse engineer or attempt to extract source code, models, or underlying technology; or
misrepresent your identity or use the Service to build a competing product.

7. Subscriptions, payments, and refunds

gaze offers paid passes and subscriptions, which may include a single-visit pass, a multi-day pass, monthly subscriptions, and lifetime access. Current prices and terms are shown in the app before you purchase.

Billing. Purchases are processed by the Apple App Store or Google Play and are subject to their terms. Auto-renewing subscriptions renew automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period.
Managing and cancelling. You manage and cancel subscriptions through your app-store account settings. Deleting the app does not cancel a subscription.
Refunds. Except where required by law or your app store's policies, payments are non-refundable, and there are no refunds or credits for partial periods.
Price changes. We may change prices and plans; changes apply to future billing periods and, where required, with notice.

8. Intellectual property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by gaze or its licensors and is protected by intellectual-property laws. Except for the limited license above, we grant you no rights in the Service. Artwork images and related information may belong to museums, artists, or other third parties and are provided for educational purposes; they remain the property of their respective owners.

9. AI-generated content

gaze uses artificial intelligence to identify works and generate descriptions, answers, and narration. This content may be incomplete, inaccurate, or outdated, is provided for general educational and informational purposes only, and is not professional, legal, financial, or appraisal advice. Always use your own judgment and verify important information independently.

10. Third-party services

The Service integrates third-party services (such as sign-in, app stores, and AI and cloud providers). Your use of those services is governed by their terms, and we are not responsible for them.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, gaze AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless gaze and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or the rights of others.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or to protect the Service or others. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. To the extent permitted by law, you and gaze agree to resolve disputes on an individual basis and waive the right to participate in any class or representative action. Nothing in these Terms limits rights that cannot be waived under the mandatory law of your country of residence.

17. General

These Terms, together with our Privacy Policy, are the entire agreement between you and gaze regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
